Terms of Service

These terms govern your use of the LearnSpace NZ platform ("Service") operated by LearnSpace NZ Limited ("we", "us", "our"). By using the Service, you agree to these terms.

1. Eligibility

  • School and teacher accounts must be operated by adults (18+)
  • Parent/whānau accounts must be operated by adults (18+)
  • Parent/whānau accounts control kids portal access for tamariki at home

2. Account Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Ensuring that tamariki only access the kids portal with appropriate adult supervision

3. Licence Grant

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for educational purposes during your active subscription.

You may not:

  • Redistribute, resell, or sublicence the Service
  • Reverse-engineer or attempt to extract source code
  • Use the Service for any unlawful purpose
  • Share account credentials with unauthorised users

4. Subscriptions and Payment

Trial Period

All paid plans include a trial. Trial terms (free or a one-time fee) are shown at signup and in Billing before you begin. You may cancel during the trial to avoid further subscription charges.

Billing

  • Prices are in New Zealand Dollars (NZD)
  • LearnSpace is not registered for GST
  • Monthly plans bill on the same date each month
  • Annual plans bill once per year at a discounted rate
  • Payment is processed securely; we do not store card details directly

Cancellation

  • You may cancel your subscription at any time from your account settings
  • Access continues until the end of your current billing period
  • Refunds are not provided for partial billing periods

5. Acceptable Use

You agree not to:

  • Upload harmful, offensive, or illegal content
  • Attempt to compromise the security of the Service
  • Use automated tools to scrape or overload the Service
  • Impersonate other users or LearnSpace staff

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property

  • The Service, including all apps, content, and branding, is owned by LearnSpace NZ Limited
  • User-generated content (e.g. teacher feedback text) remains your property, but you grant us a licence to store and display it within the Service
  • Children's work and progress data belongs to the child's guardian

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We handle all data in accordance with the NZ Privacy Act 2020.

8. Service Availability

  • We aim for high availability but do not guarantee uninterrupted service
  • Scheduled maintenance will be communicated in advance where possible
  • We are not liable for losses caused by service interruptions

9. Limitation of Liability

To the maximum extent permitted by New Zealand law:

  • The Service is provided "as is" without warranties of any kind
  • Our total liability is limited to the fees you have paid in the 12 months preceding any claim
  • We are not liable for indirect, incidental, or consequential damages

Nothing in these terms excludes liability that cannot be excluded under the Consumer Guarantees Act 1993 or other mandatory NZ legislation.

10. Changes to These Terms

We may update these terms from time to time. Material changes will be notified via email at least 14 days before taking effect. Continued use after changes constitutes acceptance.

11. Governing Law

These terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of New Zealand courts.
